1. Acceptance of Terms
By accessing or using the OrgCentral platform and services (the "Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not use the Service.
2. Description of Service
OrgCentral is a software-as-a-service platform that provides organizational compliance and operations management tools, including but not limited to certification tracking (CertiTrack), asset management (AssetTrack), training oversight (TrainingTrack), and policy distribution (PolicyTrack). The specific features available to you depend on your subscription plan and enabled modules.
3. Account Registration
To use the Service, you must:
- Create an account with accurate and complete information.
- Maintain the security of your account credentials.
- Promptly notify us of any unauthorized access to your account.
- Be at least 16 years of age.
You are responsible for all activities that occur under your account. Organization administrators are responsible for managing user access and permissions within their organization.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights.
- Upload or transmit malicious code, viruses, or harmful content.
- Attempt to gain unauthorized access to the Service, other accounts, or related systems.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse-engineer, decompile, or disassemble any part of the Service.
- Use the Service to store or transmit content that is unlawful, defamatory, or infringes on intellectual property rights.
- Scrape, harvest, or collect data from the Service through automated means without our written consent.
5. Your Data
5.1 Ownership
You retain all rights to the data you upload, create, or enter into the Service ("Your Data"). We do not claim ownership of Your Data. You grant us a limited license to host, store, process, and display Your Data solely for the purpose of providing the Service.
5.2 Data Responsibilities
You are responsible for the accuracy and legality of Your Data. You must ensure that you have the necessary rights and consents to upload personal information of your organization's members, including employee certifications, training records, and any documents shared through the Service.
5.3 Data Export
You may export Your Data at any time using the export features available within the Service. Upon termination of your account, we will make Your Data available for export for a period of 30 days, after which it may be permanently deleted.
6. Subscription and Billing
- Free tier: organizations may access a limited set of features at no cost, subject to usage limits.
- Paid plans: additional modules and features are available through paid subscription plans billed on a monthly or annual basis.
- Renewals: subscriptions renew automatically unless cancelled before the end of the current billing period.
- Refunds: subscription fees are non-refundable except where required by applicable law.
- Price changes: we may adjust pricing with at least 30 days' advance notice before your next billing cycle.
7. Intellectual Property
The Service, including its design, software, logos, trademarks, and documentation, is the property of OrgCentral and is protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.
8. Third-Party Services
The Service may integrate with or contain links to third-party services. We are not responsible for the availability, content, or practices of third-party services. Your use of third-party services is subject to their respective terms and policies.
9. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free access. We may perform scheduled maintenance, deploy updates, or experience outages that temporarily affect availability. We will make reasonable efforts to provide advance notice of planned downtime.
10. Limitation of Liability
To the maximum extent permitted by law, OrgCentral and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.
Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your specific compliance requirements or that it is a substitute for professional legal, regulatory, or compliance advice.
12. Indemnification
You agree to indemnify and hold harmless OrgCentral and its affiliates from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
13. Termination
Either party may terminate the agreement at any time. You may close your account through the account settings or by contacting support. We may suspend or terminate your access to the Service if you breach these Terms or engage in activities that may harm the Service or other users. Upon termination, your right to use the Service ceases immediately.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising from or related to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless you opt out of arbitration within 30 days of accepting these Terms.
15. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must discontinue use of the Service.
16. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
